1. Acceptance of Terms
By accessing or using PocketLot's website (including any subdomains), submitting information through any of our customer trade-in forms, or by creating an account, you ("User," "you," or "your") agree to be legally bound by these Terms of Service ("Terms") and our Privacy Policy, which is incorporated by reference.
If you are using PocketLot on behalf of a business, organization, or other legal entity, you represent and warrant that you have the authority to bind that entity to these Terms, and the word "you" shall refer to both you individually and that entity.
These Terms apply to all visitors, customers submitting vehicle trade-in information, dealership subscribers, wholesale buyers, and any other individuals or entities accessing any part of the PocketLot platform or services.
2. Definitions
For the purposes of these Terms, the following definitions apply:
Platform & Service terms
- "Platform" means PocketLot's website, web application, mobile application, API, customer trade-in forms, and any related software or digital service operated by PocketLot.
- "Services" means the SaaS dealer management tools, trade-in appraisal workflow, wholesale blast and offer management, delivery scheduling, team management, reporting, and related services provided by PocketLot.
- "Customer Trade-In Submission" means information submitted by a vehicle owner or their authorized representative through a trade-in link generated by a Dealership Subscriber using the Platform.
- "Trade-In Form" means any customer-facing online form generated by a Dealership Subscriber through the Platform, through which a vehicle owner submits trade-in information directly to that dealership.
- "Subscription" means a paid or trial access arrangement granting a Dealership Subscriber access to the Platform under these Terms.
User terms
- "Customer" means a natural person who submits vehicle information through a Dealership Subscriber's Trade-In Form.
- "Dealership User" or "Subscriber" means a licensed automotive dealership, wholesale buyer, or related business that subscribes to PocketLot's platform to manage appraisals, wholesale offers, and vehicle workflows.
- "Account" means a registered profile created by a Dealership User to access the PocketLot platform, which may include multiple authorized team members with different roles and permissions.
- "Content" means any information, text, images, data, photographs, or other materials submitted to or displayed on the Platform.
- "Applicable Law" means the laws of Alberta and Canada applicable to the activities conducted through the Platform, including PIPA, PIPEDA, CASL, the Consumer Protection Act (Alberta), the Automotive Business Regulation, and all other relevant legislation.
3. Description of Services
PocketLot operates a software-as-a-service (SaaS) platform designed for independent automotive dealerships. The Platform enables licensed dealerships to manage the complete trade-in appraisal and vehicle disposition workflow — from initial appraisal creation through wholesale offer management, delivery scheduling, team coordination, and monthly reporting.
What PocketLot does
- Provides dealership subscribers with a web-based portal and mobile tools to create, manage, and track trade-in appraisals, including VIN decoding and market value estimation.
- Enables Dealership Subscribers to generate customer-facing Trade-In Forms (shareable links and QR codes) through which their customers can submit vehicle information and photos directly to that dealership's account.
- Facilitates wholesale blast communications — allowing dealerships to notify their wholesale buyer contacts about available vehicles and collect, track, and manage incoming offers.
- Provides delivery scheduling tools to manage vehicle logistics after a wholesale offer is accepted.
- Provides team management tools enabling dealership owners and managers to add team members, assign roles, and review activity.
- Generates printable and exportable reports summarizing dealership wholesale and retail activity.
- May provide market value estimates, vehicle data lookups, or comparable sales data as informational tools only.
PocketLot does not guarantee any particular business outcome from use of the Platform, including the receipt of wholesale offers, the sale or purchase of any vehicle, or any specific return on subscription investment.
4. Eligibility
To use the Platform, you must:
- Be at least 18 years of age, or the age of majority in your province or territory, whichever is greater;
- Have the legal authority to submit any vehicle information included in your submission (for example, be the registered owner or an authorized representative);
- Provide truthful, accurate, and complete information;
- Not be subject to any legal prohibition on entering into contracts with us; and
- Reside in or be lawfully present in Canada at the time of submission.
Dealership Users must additionally be registered or licensed as required under the Automotive Business Regulation (Alberta) or the equivalent licensing regime in their operating province, and must maintain such registration in good standing throughout the period of their subscription.
5. Account Registration
Dealership Subscribers must create an Account to access the PocketLot platform. By registering, you agree to:
- Provide accurate, complete, and current registration information, including your business name, address, and authorized contact persons;
- Maintain the security of your account credentials and not share your login information with unauthorized persons;
- Notify us immediately at info@pocketlot.ca if you suspect unauthorized access to your Account;
- Accept responsibility for all activity conducted under your Account, whether or not you authorized it;
- Update your registration information promptly if it changes; and
- Not create multiple accounts for the same business without express prior written approval from PocketLot.
Multi-user accounts
Dealership accounts may include multiple authorized users with different roles and permissions (for example, Owner, Manager, or Sales). The account holder — the person or business that registered the Account — is solely responsible for all activity conducted by any authorized user of their account, regardless of which team member performed that activity. You are responsible for ensuring that all team members added to your account understand and comply with these Terms.
PocketLot may refuse registration, suspend, or terminate any Account at its sole discretion, including for violation of these Terms, failure to maintain required licensing, or any other reason.
6. Customer Trade-In Submissions
When a vehicle owner or their representative submits information through a PocketLot Trade-In Form generated by a Dealership Subscriber, the following applies:
6.1 Who receives your information
Customer Trade-In Forms are generated by individual Dealership Subscribers. When you submit a Trade-In Form, your vehicle and personal information is delivered directly to the Dealership Subscriber who shared the form link with you — not to a marketplace or to multiple dealerships. PocketLot processes and stores the submission on behalf of that Dealership Subscriber as part of providing the Platform.
6.2 Accuracy of Information
You represent that all information you submit is truthful, accurate, and complete to the best of your knowledge. You agree not to submit false, misleading, incomplete, or fabricated information. Deliberately providing false vehicle information may constitute a violation of applicable law.
6.3 No Guarantee of Offer or Appraisal
Submitting a Trade-In Form does not guarantee that you will receive a trade-in offer, appraisal, appointment, or any other outcome. PocketLot makes no representation as to the value of your vehicle or the likelihood of receiving an offer. Any offer you receive is from the Dealership Subscriber directly, not from PocketLot.
6.4 Market Estimates
Where PocketLot provides a market estimate, VIN lookup result, or comparable sales figure, such information is provided for informational purposes only. It does not constitute a professional appraisal, a purchase offer, a trade-in value commitment, or financial advice. Actual vehicle values vary significantly based on condition, location, market conditions, and other factors.
7. Dealership & Business User Terms
In addition to all other provisions of these Terms, Dealership Subscribers agree to the following:
7.1 Licensing & Compliance
You represent and warrant that you hold and will maintain in good standing all required licences, registrations, and approvals necessary to operate an automotive dealership or related business, including AMVIC registration (or equivalent) and compliance with all applicable laws. You agree to promptly notify PocketLot if your licence is suspended, revoked, or subject to regulatory action.
7.2 Lawful Use of Customer Data
You agree to use Customer Trade-In Submission data solely for the purpose of responding to the customer's specific inquiry and for lawful automotive business purposes. You must not:
- Use Customer data for purposes unrelated to responding to the customer's trade-in or appraisal inquiry;
- Sell, license, transfer, or share Customer data with any third party not directly involved in fulfilling the customer's request;
- Use Customer data to send unsolicited commercial electronic messages (spam) in violation of CASL;
- Use Customer data to engage in unfair, deceptive, or predatory practices prohibited under the Consumer Protection Act (Alberta) or any other applicable law; or
- Retain Customer data longer than reasonably necessary for the business purpose for which it was provided.
7.3 Customer Contact Standards
When contacting customers whose trade-in information you have received through the Platform, you agree to:
- Identify yourself and your business clearly and accurately;
- Honour the customer's preferred contact method where provided;
- Comply with all CASL requirements for commercial electronic messages;
- Stop contacting a customer if they request no further communication; and
- Comply with all applicable do-not-call and do-not-text regulations.
7.4 Accurate Business Information
You agree to provide accurate information about your business, including your dealership name, location, and the identity of personnel who will access the Platform. You must not misrepresent your business to customers or to PocketLot.
7.5 Platform Conduct
You may not reverse-engineer, scrape, or systematically extract data from the Platform by automated means. You may not circumvent, disable, or interfere with any security or access-control feature of the Platform. You may not use the Platform to facilitate any transaction that violates applicable law or AMVIC regulations.
8. Acceptable Use Policy
All Users agree not to use the Platform for any unlawful, harmful, or prohibited purpose. You must not:
Prohibited conduct — all users
- Submit false, fraudulent, misleading, or duplicate information
- Impersonate another person, business, or entity
- Attempt to access accounts, systems, or data you are not authorized to access
- Interfere with or disrupt the Platform, servers, or networks
- Introduce viruses, malware, ransomware, or any harmful code
- Use automated bots, scrapers, or crawlers on the Platform without express written consent
- Circumvent any security, access control, or authentication mechanism
- Use the Platform for any purpose prohibited by Applicable Law
- Harass, threaten, or harm any other User, customer, or PocketLot employee
Prohibited conduct — dealership subscribers
- Share, resell, or distribute Customer Trade-In data to unauthorized parties
- Use Customer data for purposes beyond the scope of the customer's inquiry
- Access appraisal or customer data for businesses other than your registered dealership
- Engage in predatory, deceptive, or unfair consumer practices using the Platform or Customer data
- Use the Platform to facilitate any transaction that violates AMVIC regulations or the Consumer Protection Act
- Inflate, manipulate, or misrepresent appraisal data, billing records, or activity within the Platform
PocketLot reserves the right, at its sole discretion and without prior notice, to remove any Content, restrict access to any feature, suspend any Account, or report conduct to relevant authorities where we believe a violation has occurred or is imminent.
9. Intellectual Property
9.1 PocketLot Ownership
All intellectual property rights in and to the Platform, including but not limited to software, source code, algorithms, databases, user interfaces, logos, trademarks, trade names, trade dress, marketing materials, and all original content created by PocketLot, are owned exclusively by PocketLot or its licensors. These rights are protected by applicable intellectual property laws, including the Copyright Act (Canada), trademark law, and other applicable laws.
9.2 Limited Licence to Users
Subject to these Terms, PocketLot grants you a limited, non-exclusive, non-transferable, revocable licence to access and use the Platform solely for its intended purpose — either submitting trade-in information as a Customer or accessing and managing appraisals and workflows as a Dealership Subscriber. This licence does not include the right to copy, reproduce, distribute, modify, reverse-engineer, decompile, sub-license, sell, rent, or transfer access to the Platform.
9.3 Feedback
If you submit suggestions, feedback, feature requests, or other ideas to PocketLot, you grant PocketLot a perpetual, irrevocable, royalty-free, worldwide licence to use, incorporate, modify, and commercialize that feedback without obligation or compensation to you.
10. User Content & Submissions
When you submit Content to the Platform — including vehicle photos, descriptions, notes, appraisal records, messages, or any other materials — you grant PocketLot a non-exclusive, worldwide, royalty-free licence to store, process, display, and use that Content for the purposes of operating and improving the Platform and providing the Services.
You represent and warrant that:
- You own or have all necessary rights in the Content you submit;
- The Content does not violate any applicable law or the rights of any third party;
- The Content does not contain any viruses, malicious code, or harmful elements; and
- Vehicle photos you submit accurately represent the vehicle described and have not been materially altered in a misleading way.
PocketLot does not claim ownership of your Content but reserves the right to remove any Content that violates these Terms, applicable law, or our content standards, without notice.
11. Privacy & Personal Information
The collection, use, and disclosure of personal information through the Platform is governed by our Privacy Policy, which is incorporated into and forms part of these Terms. By using the Platform, you consent to the collection, use, and disclosure of your personal information as described in the Privacy Policy.
Key privacy commitments include:
- Customer Trade-In data is collected under Alberta's Personal Information Protection Act (PIPA) and, where applicable, the federal Personal Information Protection and Electronic Documents Act (PIPEDA).
- Customer Trade-In data submitted through a Dealership Subscriber's Trade-In Form is accessible to that Dealership Subscriber as the core function of the Services.
- Customers may exercise their rights of access, correction, and consent withdrawal as set out in the Privacy Policy.
- Dealership Subscribers who receive Customer data through the Platform are independently responsible for their own compliance with applicable privacy law when using that data.
- PocketLot will maintain appropriate technical and organizational safeguards to protect personal information.
12. Electronic Communications (CASL)
Canada's Anti-Spam Legislation (CASL, SC 2010, c 23) governs the sending of commercial electronic messages (CEMs). PocketLot complies with CASL as follows:
- Consent: We send CEMs only where we have express or implied consent under CASL.
- Identification: All CEMs sent by PocketLot identify PocketLot as the sender, include our contact information, and contain a clear, functional unsubscribe mechanism.
- Unsubscribe: You may unsubscribe from PocketLot's marketing communications at any time using the unsubscribe link in any email or by contacting us at info@pocketlot.ca. We will process unsubscribe requests within 10 business days as required by CASL.
- Transactional messages: Messages required to fulfill a service (such as account activation, appraisal notifications, or subscription billing notices) are not CEMs under CASL and may be sent regardless of marketing opt-out status.
Dealership Subscribers who send CEMs to customers using data they access through the Platform are independently and solely responsible for their own CASL compliance.
13. Fees, Subscriptions & Payment
Dealership Subscribers are charged a monthly subscription fee for access to the Platform. The following terms govern all subscriptions:
13.1 Subscription Fee
- The current subscription fee is $250.00 CAD per month, which includes up to four (4) authorized user seats for one store location.
- Additional user seats beyond the included four are available at $49.00 CAD per seat per month.
- All fees are in Canadian dollars (CAD) unless otherwise stated.
- Applicable taxes (including GST/HST) will be added to all charges as required by law.
- PocketLot reserves the right to change subscription pricing with a minimum of 30 days' written notice to active subscribers. Price changes do not affect the current billing period.
13.2 Free Trial
- New Dealership Subscribers receive a 30-day free trial beginning on the date their account is activated by PocketLot.
- A valid payment method (credit card) is required to begin the free trial and is securely stored by PocketLot's payment processor (Stripe).
- No charge is made during the 30-day trial period.
- At the end of the 30-day trial, the subscription automatically converts to a paid monthly subscription at the then-current rate unless the Subscriber cancels before the trial end date.
- PocketLot will send a reminder notice to the Subscriber's registered email address approximately five (5) days before the trial converts to a paid subscription.
13.3 Billing & Payment
- Paid subscriptions are billed monthly on the anniversary of the trial conversion date.
- Payment is processed automatically via the payment method on file through our payment processor, Stripe.
- If a payment fails, PocketLot will attempt to re-process and will notify the Subscriber. Access to the Platform may be suspended for accounts with overdue or failed payments.
- Disputes regarding charged amounts must be raised in writing within 30 days of the charge date; after that period, charges are deemed accepted.
13.4 Cancellation
- Subscribers may cancel their subscription at any time by emailing info@pocketlot.ca or through account settings when available.
- Cancellation takes effect at the end of the current billing period. No partial refunds are issued for the remaining portion of a billing period.
- Following cancellation, the Subscriber retains access to their account until the end of the current billing period.
- After the subscription ends, account data is retained for 30 days to allow the Subscriber to export their appraisal and wholesale records. Data export is available via the account settings or by request to info@pocketlot.ca. After the 30-day retention period, account data is permanently deleted from active systems.
13.5 Refunds
Subscription fees are generally non-refundable. PocketLot may, at its sole discretion, issue credits or refunds in exceptional circumstances, including extended platform outages caused by PocketLot's infrastructure.
Customers (vehicle owners) do not pay any fee to submit a Trade-In Form. The Platform is free to use for vehicle owners submitting trade-in inquiries to a dealership.
14. Disclaimers & No Warranties
THE PLATFORM AND ALL SERVICES ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS, WITHOUT ANY WARRANTY OF ANY KIND, EXPRESS OR IMPLIED, TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW.
Without limiting the foregoing, PocketLot expressly disclaims all warranties, including but not limited to:
- Any implied warranty of merchantability, fitness for a particular purpose, title, or non-infringement;
- Any warranty that the Platform will be uninterrupted, error-free, secure, or virus-free;
- Any warranty as to the accuracy, completeness, reliability, or timeliness of any content, market estimate, vehicle valuation, or other information provided through the Platform;
- Any warranty that use of the Platform will result in any particular business outcome, including the receipt of wholesale offers or completion of any vehicle sale or purchase;
- Any warranty regarding the conduct, licensing, solvency, or practices of any Dealership Subscriber; and
- Any warranty that the Platform will be available in any particular geographic area or jurisdiction.
In the event of a service disruption or outage, PocketLot will use commercially reasonable efforts to restore service promptly and will communicate status updates to affected users where reasonably practicable. Nothing in this section is intended to limit any rights you may have under applicable consumer protection legislation that cannot be excluded or limited by contract.
15. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, POCKETLOT AND ITS OWNER, OFFICERS, EMPLOYEES, CONTRACTORS, AND AGENTS WILL NOT BE LIABLE FOR ANY:
- Indirect, incidental, special, consequential, or punitive damages;
- Loss of profits, revenue, data, goodwill, or business opportunity;
- Damages arising from reliance on any market estimate, vehicle valuation, or other content on the Platform;
- Damages arising from the acts or omissions of any Dealership Subscriber;
- Damages arising from unauthorized access to or alteration of your submissions;
- Damages arising from any interruption, suspension, or termination of the Platform or Services; or
- Damages arising from any third-party link, service, or product accessed through the Platform.
In any case, PocketLot's total aggregate liability to you for all claims arising out of or relating to these Terms or the Platform shall not exceed the greater of:
- The total amount paid by you to PocketLot in the twelve (12) months preceding the event giving rise to the claim; or
- One hundred Canadian dollars (CAD $100.00) where no fees have been paid.
16. Indemnification
You agree to defend, indemnify, and hold harmless PocketLot and its owner, employees, contractors, agents, and successors from and against any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable legal fees) arising out of or relating to:
- Your use of the Platform in violation of these Terms or Applicable Law;
- Any Content you submit to the Platform, including inaccurate vehicle information or fraudulent submissions;
- Your violation of any third party's rights, including privacy rights, intellectual property rights, or consumer protection rights;
- Your violation of any Applicable Law, regulation, or regulatory requirement;
- Any transaction, contract, offer, or communication between you and a customer or Dealership Subscriber;
- Your failure to comply with CASL, PIPA, or AMVIC obligations; or
- Any misrepresentation made by you in connection with the Platform.
17. Suspension & Termination
17.1 Termination by PocketLot
PocketLot may, without prior notice, immediately suspend, restrict, or terminate your access to the Platform if PocketLot believes, acting reasonably, that:
- You have violated or are violating these Terms or any Applicable Law;
- Your use of the Platform poses a risk of harm to PocketLot, other Users, Customers, or third parties;
- You have engaged in fraudulent, deceptive, or abusive conduct;
- You have failed to pay fees when due;
- Your licence, registration, or AMVIC authorization has lapsed or been revoked; or
- PocketLot discontinues the Platform or any portion of the Services.
17.2 Termination by You
You may cancel your subscription and close your Account at any time by contacting us at info@pocketlot.ca. See Section 13.4 for cancellation terms and data retention details.
17.3 Effect of Termination
Upon termination of your Account for any reason, your licence to use the Platform ceases. Provisions of these Terms that by their nature survive termination (including Sections 9, 14, 15, 16, 20, 21, and 24) will continue in full force and effect. PocketLot will retain and then delete account data as described in Section 13.4.
18. Consumer Protection (Alberta)
PocketLot is committed to compliance with Alberta's Consumer Protection Act (RSA 2000, c C-26.3). The following provisions are relevant to customers submitting trade-in information through the Platform:
18.1 Internet Sales Contracts
Where a customer's interaction with a Dealership Subscriber facilitated through the Platform constitutes an "internet sales contract" as defined under the Consumer Protection Act or the Internet Sales Contract Regulation (Alta Reg 81/2001), the customer may have the right to cancel the contract within 7 days of receiving a copy of the contract without penalty or obligation where the contract does not comply with the required disclosures under the Regulation.
18.2 Unfair Practices
The Consumer Protection Act prohibits unfair practices. If you believe you have been subjected to an unfair practice, you may contact PocketLot at info@pocketlot.ca, or file a complaint with Service Alberta at alberta.ca/consumer-protection.
18.3 No Obligation to Proceed
Submitting a Trade-In Form or receiving a vehicle appraisal or trade-in offer through the Platform does not create a binding obligation on you to sell, trade, or otherwise transfer your vehicle. All offers and appraisals are non-binding until a written agreement is executed between you and the relevant Dealership.
19. AMVIC & Automotive Industry Compliance
The Alberta Motor Vehicle Industry Council (AMVIC) regulates Alberta's automotive industry under the Automotive Business Act (SA 2008, c A-42.01) and the Automotive Business Regulation (Alta Reg 192/1999, as amended).
19.1 Dealership Compliance
All Dealership Subscribers must:
- Hold and maintain a valid AMVIC industry authorization for each business location;
- Ensure that all salespeople accessing the Platform hold valid AMVIC industry authorizations as required by law;
- Comply with the Automotive Business Regulation's advertising code of conduct, including all-in advertised pricing and prohibition on false, misleading, or deceptive advertising; and
- Comply with all inspection, documentation, and disclosure requirements applicable to vehicle transactions facilitated through the Platform.
20. Governing Law & Jurisdiction
These Terms and any dispute arising out of or in connection with the Platform, the Services, or these Terms shall be governed by and construed in accordance with the laws of the Province of Alberta and the applicable laws of Canada, without regard to conflict-of-law rules.
Subject to Section 21 (Dispute Resolution), you irrevocably submit to the exclusive jurisdiction of the courts of the Province of Alberta for the resolution of any dispute arising under or in connection with these Terms or the Platform.
21. Dispute Resolution
21.1 Informal Resolution
Before pursuing any formal legal proceeding, you agree to first contact PocketLot at info@pocketlot.ca and describe the nature and basis of your dispute in reasonable detail. PocketLot will make a good-faith effort to respond within 14 calendar days and to resolve the matter informally.
21.2 Mediation
If the dispute is not resolved informally within 30 days, either party may request non-binding mediation before a mutually agreed mediator in Calgary or Edmonton, Alberta. The costs of mediation shall be shared equally between the parties unless otherwise agreed.
21.3 Litigation
If mediation does not resolve the dispute, either party may pursue legal proceedings in the courts of Alberta as provided in Section 20.
21.4 No Class Actions
To the maximum extent permitted by applicable law, you agree that any dispute shall be brought in your individual capacity only, and not as a plaintiff or class member in any purported class action, collective action, or representative proceeding.
22. Third-Party Links & Services
The Platform may contain links to third-party websites, services, or resources. PocketLot has no control over and assumes no responsibility for the content, privacy policies, accuracy, or practices of any third-party website or service.
PocketLot uses third-party service providers to operate parts of the Platform, including cloud hosting (Render), email delivery, payment processing (Stripe), and analytics. These providers may process personal information in accordance with our Privacy Policy. PocketLot may also use advertising tracking technologies, including Meta's advertising pixel, to measure the effectiveness of marketing campaigns. Details of tracking technologies used are set out in our Privacy Policy.
23. Force Majeure
PocketLot will not be liable for any delay or failure to perform its obligations under these Terms to the extent that such delay or failure is caused by circumstances beyond PocketLot's reasonable control, including acts of God, natural disasters, pandemics, government orders, internet outages, cyberattacks, power failures, labour disputes, or disruption of third-party services.
24. Severability & Entire Agreement
24.1 Severability
If any provision of these Terms is found to be invalid, unlawful, or unenforceable, that provision will be modified to the minimum extent necessary to make it enforceable, or severed from these Terms if modification is not possible, without affecting the remaining provisions.
24.2 Entire Agreement
These Terms, together with the Privacy Policy, constitute the entire agreement between you and PocketLot with respect to the subject matter hereof, and supersede all prior and contemporaneous agreements, understandings, and communications relating to the same subject matter.
24.3 Waiver
No failure or delay by PocketLot in exercising any right under these Terms will operate as a waiver of that right. A waiver of any breach or default does not constitute a waiver of any subsequent breach or default.
24.4 Assignment
PocketLot may assign or transfer its rights and obligations under these Terms at any time, including in connection with a sale of the business or its assets. You may not assign or transfer your rights or obligations under these Terms without PocketLot's prior written consent.
24.5 Language
These Terms are written in English. In the event any translated version is made available, the English version governs in the event of any conflict or inconsistency.
25. Changes to These Terms
PocketLot may amend these Terms at any time.
